Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Metera platform, including the website at metera.xyz, the API, the dashboard, agents, and all related services (collectively, the "Service").

The Service is operated by Metera, a company organized under the laws of Brazil ("Metera", "we", "us").

By creating an account, accessing the API, or using the Service in any way, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old to use the Service. By using the Service you represent that you are 18 or older and have the legal capacity to enter into a binding agreement.

If you use the Service on behalf of a company or other entity, you represent that you have authority to bind that entity, and "you" refers to that entity.

You may not use the Service if you are located in, or are a resident of, any jurisdiction subject to comprehensive sanctions, or if you appear on any applicable restricted-party list.

2. What the Service Does

Metera is a data intermediation and verification layer. In plain terms:

  • ·You or your agents request data through our API or dashboard
  • ·Metera selects one or more third-party data sources to fulfill the request
  • ·Metera applies automated verification checks to the response
  • ·Metera returns the data together with a verification level and a trace describing how the decision was made

Metera does not produce data. All data delivered through the Service originates from third-party sources. Metera routes, verifies, labels, and delivers it.

3. Verification Levels and What They Mean

The Service labels every delivered response with a verification level. These labels describe the checks that were performed. They are not warranties of accuracy.

The meaning of each level, the limits of each level, and the measurement methodology are set out in the Data Disclaimer, which forms part of these Terms and is incorporated by reference. You must read the Data Disclaimer before relying on any data delivered through the Service.

In summary, and without limiting the Data Disclaimer:

  • ·A high verification level means more checks passed, not that the data is correct
  • ·Metera does not warrant that any data is accurate, complete, current, or fit for any purpose
  • ·You are responsible for deciding whether a given verification level is adequate for your use case, and for configuring minimum verification levels accordingly

4. Accounts and API Keys

You are responsible for all activity under your account and API keys, including activity by agents you configure.

You must:

  • ·Keep API keys confidential and never expose them in client-side code or public repositories
  • ·Notify us promptly at hello@metera.xyz if you believe a key has been compromised
  • ·Provide accurate account information and keep it current

We may suspend or terminate keys that appear compromised, without prior notice, to protect the Service and other users.

5. Agents and Automated Consumption

The Service allows you to configure agents: automated configurations that make scheduled data requests on your behalf.

You acknowledge and agree that:

  • ·Agents spend your credits automatically, without a per-call confirmation
  • ·You are solely responsible for the configuration of your agents, including frequency, budget, and scope, and for all charges they incur
  • ·Cost projections shown at configuration time are estimates based on listed source prices, not guarantees. Actual costs may differ
  • ·You are responsible for setting appropriate budget limits, rate limits, and auto-kill triggers
  • ·The "kill" function is terminal. Once killed, an agent cannot be reactivated
  • ·We may impose absolute rate ceilings regardless of your configuration, to protect the Service

Where an agent configuration is generated with the assistance of an automated language model, you are responsible for reviewing and approving that configuration before activation. The generated configuration is a proposal, not advice.

6. Credits, Plans, and Payment

Credits. Access to data is metered in credits. One credit does not equal one API call. Different sources consume different numbers of credits, reflecting their underlying cost. The credit weight of each source is shown before use and may change with notice.

Charging. Credits are debited on delivery. Requests refused for failing verification, falling below your minimum verification level, or otherwise not delivered are not charged. Failed attempts made in the course of fulfilling a request are absorbed by us.

Plans and renewal. Subscription plans renew automatically for the stated period unless cancelled before the renewal date. You may cancel at any time through the dashboard; cancellation takes effect at the end of the current billing period.

Refunds. Except where required by applicable law, fees are non-refundable and unused credits do not carry over beyond the terms of your plan. Where you are a consumer under Brazilian law, your statutory rights, including any applicable right of withdrawal under the Código de Defesa do Consumidor, are not affected by this clause.

Taxes. Prices are exclusive of taxes unless stated otherwise. You are responsible for any taxes arising from your use of the Service, other than taxes on our income.

Price changes. We may change prices, plan inclusions, or credit weights on at least 30 days' notice. Changes take effect at your next renewal.

7. Third-Party Sources

The Service delivers data obtained from third-party providers. You acknowledge that:

  • ·Third-party sources may become unavailable, change their formats, alter their pricing, or restrict access at any time, without notice to us or to you
  • ·We do not control and are not responsible for the content, accuracy, legality, or availability of third-party data
  • ·Some data may be subject to the terms of the originating provider, and your use of it may be restricted by those terms
  • ·We may remove, suspend, or reprioritise any source at any time

Your responsibility. You are responsible for ensuring that your use of data delivered through the Service complies with all applicable laws and with any third-party terms that apply to that data, including but not limited to platform terms, database rights, and data protection law.

8. Acceptable Use

You may not, and may not permit any agent or third party to:

  • ·Use the Service to violate any law, regulation, or third-party right
  • ·Use the Service to collect, process, or infer personal data unlawfully, including special categories of personal data, or to conduct surveillance, profiling, or tracking of individuals without a lawful basis
  • ·Attempt to identify, deanonymise, or aggregate data about specific individuals in a manner that violates data protection law
  • ·Reverse engineer, decompile, or attempt to derive the source code of the Service, except to the extent this restriction is prohibited by law
  • ·Circumvent rate limits, budget controls, verification levels, or any other technical control
  • ·Resell, sublicense, or redistribute raw data obtained through the Service in a manner that competes with the originating source, except as expressly permitted
  • ·Submit false, misleading, or manipulated data as a data provider, or attempt to manipulate source rankings or verification outcomes
  • ·Interfere with, disrupt, or place undue load on the Service or its infrastructure

We may suspend or terminate access for violations of this section, in serious cases without prior notice.

9. Data Providers

If you list an API, MCP server, or other data source on the Service ("Provider"), the following applies in addition to the rest of these Terms.

Your representations. You represent and warrant that you have the right to make the data available, that doing so does not violate any third-party terms, intellectual property right, or data protection law, and that your listing information is accurate.

Measurement and ranking. We measure the reliability of listed sources through automated probing, consensus comparison, and observation of live traffic. Ranking and routing decisions are made by our automated systems on the basis of measured performance. We do not guarantee any volume of traffic, revenue, or ranking position. A source may receive no traffic.

Payment to Providers. Where the Service settles payments to Providers, payment is made per successfully delivered call, in the manner and currency described at listing time. We may withhold payment where we reasonably suspect fraud, manipulation, or breach of these Terms.

Removal. We may remove or suspend any listing at any time, including where a source fails verification, becomes unavailable, or is the subject of a credible complaint.

Your indemnity. You will indemnify us against any claim arising from data you make available through the Service, including claims of infringement, breach of third-party terms, or unlawful processing of personal data.

10. Intellectual Property

Ours. The Service, including its software, verification engine, scoring methodology, documentation, and branding, is owned by Metera and protected by intellectual property law. These Terms grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service in accordance with them. No other rights are granted.

Yours. You retain all rights in the content and configurations you submit. You grant us a licence to host, process, and transmit that content solely to operate and improve the Service.

Open source components. Certain components of the Service may be released under open source licences. Those components are governed by their respective licences, which prevail over these Terms in case of conflict for those components.

Feedback. If you send us suggestions, we may use them without restriction or obligation to you.

11. Service Availability

The Service is provided on an "as available" basis. We do not commit to any specific uptime, latency, or availability unless a separate written service level agreement applies to your account.

We may modify, suspend, or discontinue any part of the Service. Where a change materially and adversely affects paid features, we will give reasonable notice where practicable.

12. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL DATA DELIVERED THROUGH IT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.

Without limiting the above, we do not warrant that:

  • ·Any data delivered is accurate, complete, current, or free of error
  • ·Any verification level guarantees the correctness of the underlying data
  • ·Any third-party source will remain available, accurate, or lawful
  • ·The Service will be uninterrupted, secure, or error-free
  • ·Agents will execute at exactly the configured frequency

The Service is not a source of financial, investment, legal, medical, or professional advice. Data delivered through the Service must not be relied upon as the sole basis for any decision with financial, legal, safety, or health consequences. You are responsible for independent verification appropriate to the stakes of your use case.

Nothing in these Terms excludes liability that cannot be excluded under applicable law, including under the Código de Defesa do Consumidor where it applies to you.

13. Limitation of Liability

To the maximum extent permitted by law:

  • ·We are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, business opportunity, or goodwill, arising from or related to the Service, whether or not we were advised of the possibility
  • ·We are specifically not liable for losses arising from decisions made in reliance on data delivered through the Service, regardless of the verification level assigned to that data
  • ·We are not liable for spending incurred by agents you configured, including spending resulting from misconfiguration
  • ·Our total aggregate liability arising from or related to the Service in any twelve-month period will not exceed the greater of (a) the amount you paid us in the twelve months preceding the event giving rise to the claim, or (b) USD 100

These limits apply to the fullest extent permitted by law and do not limit liability for fraud, wilful misconduct, or any liability that cannot be limited by law.

14. Indemnity

You will indemnify, defend, and hold harmless Metera, its officers, employees, and agents from any claim, demand, loss, liability, or expense (including reasonable legal fees) arising from:

  • ·Your use of the Service or of data delivered through it
  • ·Your breach of these Terms or of any applicable law
  • ·Your agents' activity
  • ·Any content or data you make available through the Service
  • ·Any claim that your use infringed a third-party right

15. Suspension and Termination

By you. You may stop using the Service and close your account at any time through the dashboard.

By us. We may suspend or terminate your access, with or without notice, if you breach these Terms, if we reasonably suspect fraud or abuse, if required by law, or if continued provision would create a legal or security risk.

Effect. On termination, your right to use the Service ends immediately. Sections that by their nature should survive — including Sections 7, 10, 12, 13, 14, 17, and 18 — survive termination. Unused credits are forfeited on termination for breach.

Data on termination. We will retain and delete your data in accordance with the Privacy Policy. You are responsible for exporting any data you wish to keep before closing your account.

16. Changes to These Terms

We may update these Terms. Where a change is material, we will give notice by email or through the Service at least 30 days before it takes effect. Continued use after the effective date constitutes acceptance. If you do not accept a change, you must stop using the Service before it takes effect.

The "Last updated" date at the top indicates when these Terms were last revised.

17. Governing Law and Disputes

These Terms are governed by the laws of the Federative Republic of Brazil, without regard to conflict of law rules.

Any dispute arising from or relating to these Terms or the Service will be submitted to the courts of [CITY/STATE], Brazil, to the exclusion of any other, however privileged.

Where you are a consumer, this clause does not deprive you of the protection of mandatory provisions of the law of your country of residence, including the right to bring proceedings in your local courts where applicable law so provides.

18. General

Entire agreement. These Terms, together with the Privacy Policy and the Data Disclaimer, constitute the entire agreement between you and Metera regarding the Service.

Severability. If any provision is held unenforceable, the remainder continues in effect and the unenforceable provision is modified to the minimum extent necessary to make it enforceable.

No waiver. Our failure to enforce any provision is not a waiver of it.

Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.

Force majeure. Neither party is liable for failure to perform due to causes beyond its reasonable control.

Language. These Terms are drafted in English. Any translation is provided for convenience; the English version prevails.
